Munich-based fund Afinum 9 has acquired all shares in PROLOGA group of companies (“PROLOGA”) headquartered in Halle.

PROLOGA is a leading software provider of SAP add-on solutions with a focus on enterprise customers in the circular economy and utilities industry. The founder and former owner was looking for a partner with experience in technology-enabled growth scenarios and the SAP ecosystem to support PROLOGA’s next phase of development and growth while preserving his life’s work. This acquisition marks Afinum’s ninth anchor investment.

Greenfort advises EMBRACE on the acquisition of HR Tech Company Milch & Zucker

Bertelsmann Investments (BI) strengthens its portfolio company EMBRACE and acquires the renowned German HR solutions provider Milch & Zucker. The company includes the job advertisement and applicant management system BeeSite, which is supported by AI applications, as well as an HR marketing agency and the online job market JobStairs. BI recently strengthened EMBRACE in the summer of 2023 by acquiring Studyflix, the largest career platform for pupils and students in German-speaking countries. Greenfort also provided legal advice on this transaction.

Greenfort advised SMA Solar Technology AG (“SMA”) on the sale of its shareholding in elexon GmbH (“elexon”) to VARO Energy Marketing AG as buyer. The purchase agreement is subject to approval by the relevant antitrust authorities. Together with AixControl GmbH and aixACCT charging solutions GmbH, SMA founded elexon in 2019. elexon is a system integrator for charging infrastructure and has installed 24,000 charging points for e-charging parks for industrial vehicle fleets at more than 900 locations in Germany and Europe as a general contractor.

The investment company GENUI has acquired a majority stake in KGS Software GmbH (“KGS”), a leading specialist for the digital archiving of data and documents. The seller is the investment company Maxburg Capital Partners. Greenfort provided legal advice to the existing management team of KGS, which will continue to steer and drive the future development of the company.

Founded in 2000 and based in Neu-Isenburg near Frankfurt am Main, KGS is an archiving specialist that enables its customers to migrate and archive data and documents from SAP as well as documents from other leading applications using high-performance, lean software.

Greenfort advises Gruner+Jahr on the sale of “11Freunde”

Gruner+Jahr sells majority stake in football magazine “11 Freunde” to SPIEGEL.

The SPIEGEL publishing house Rudolf Augstein GmbH & Co. KG takes over from Gruner + Jahr GmbH a shareholding of 51% in 11 Freunde Verlag GmbH & Co. KG with its registered office in Berlin. The takeover will be completed when approval has been granted by the competent merger control authorities. The remaining shares will continue to be held by editor-in-chief Philipp Köster and publisher Matthias Hörstmann.

As a high-profile brand for football culture, “11Freunde” will expand the portfolio of the SPIEGEL Group as a new pillar alongside SPIEGEL, SPIEGEL TV and the business offerings around manager magazin and Harvard Business manager.

Greenfort advised M5 BV UG (haftungsbeschränkt) & Co. KG on the sale of its shareholding in the complete wheel specialist RR Team GmbH to the Karlsruhe-based Pneuhage Group. RR Team GmbH is an experienced and competent system partner for complete wheels and tires in the automotive business with OEMs and car dealers.

The objective of the shareholders in the sale was to transfer their shares in RR TEAM GmbH to an industry partner who would continue the investment in an independent and future-oriented manner in the entrepreneurial sense.

The acquisition of RR Team GmbH with its approximately 130 employees is intended to create the conditions for growth and Europeanization at the Pneuhage Group in the coming years by expanding its core business.

The sale is still subject to approval by the antitrust authority.

Myonex was founded 35 years ago and today globally offers a wide range of sourcing and supply, packaging, and labeling solutions, as well as distribution options to support clinical trials.

Greenfort advises Romaco Group on its acquisition of STE Tecpharm, S. L., a Spanish manufacturer of processing equipment.

Through the acquisition of Tecpharm, Romaco is further expanding its processing division. The company will operate under the name Romaco Tecpharm, S. L. By effective purchase agreement, Romaco will acquire 75 percent of the shares in owner-managed STE Tecpharm, S. L. in a first step. The remaining 25 percent will be transferred at a later point.

Tecpharm was founded in 2013 by David Mateo, Bárbara Jané and Pedro Cuadrado as a spin-off of the STE Group. The core competence of the supplier of equipment for the pharmaceutical industry is the development, assembly and marketing of coating systems for pills. In addition, the manufacturer supplies various technologies for wet granulation on a laboratory and production scale. Post-closing of the transaction, Tecpharm will continue to operate as an independent business unit of the Romaco Group based in Spain.

With the new addition, Romaco operates a total of five production sites in Germany, Italy and Spain. With its technologies, the European pharmaceutical machine manufacturer covers the entire process chain in the manufacture, processing and packaging of pharmaceutical solid products. EDP European Dental Partners GmbH, a subsidiary of Swedish Lifco AB, has acquired a majority stake in dental company Kaniedenta Dentalmedizinische Erzeugnisse GmbH & Co. KG, based in Herford, Germany. The transaction is subject to merger control clearance.

Let the pleadings begin!

Continuing the established tradition, Greenfort once again supported a team of students from the Goethe University Frankfurt in the preparations for this year’s Hugo Sinzheimer Moot Court, which will take place in June 2020. The case, which is embedded in “European Labour Law”, deals with current issues relating to the relocation of business operations to the private home office. Due to the current circumstances, the meeting with Anna Hauer and Johanna Keil did not take place in the offices as usually, but virtually. The students had the opportunity to present their pleadings in English. Afterwards, the content, style of presentation, legal aspects of the presented case as well as procedural tactics were discussed and debated in a joint session. The team had the opportunity to obtain suggestions, ideas and proposals for improvement from the practice.

The Hugo Sinzheimer Moot Court is an initiative of labour law lecturers at the University of Amsterdam. Its declared aim is to deepen and improve knowledge of labour law at European level. Since 2016, it has taken place on an annual basis – always in different European Member State. This year’s event was supposed to take place in Tbilisi, Georgia. However, due to the current situation, it will be held virtually. Germany will be represented for the third time by a team of tree students from the Goethe University Frankfurt am Main. Greenfort wishes “our” team the best of luck and much success!
